1. Definitions
In these terms: "we", "us", "our" and "Matparts" mean Matparts Ltd; "you" and "the customer" mean the business or person buying from us; "goods" means the parts, needles, binders, kits and other products we supply; "quotation" means a written price we give you in reply to an enquiry or quote request; and "contract" means the agreement between us for the supply of goods.
2. About these terms
These terms apply to every quotation, order and supply of goods by Matparts, and replace any terms you may send with an order. Any change must be agreed in writing by us.
Our goods are supplied for business use. If you are buying as a consumer, you also have rights under UK consumer law, and nothing in these terms affects those rights.
3. Quote requests and quotations
Adding parts to a quote request on our website is not an order. It is a request for us to check the parts against your machine and send you a quotation.
A quotation is valid for 30 days from its date unless it says otherwise. Prices, stock and lead times in a quotation may change after that.
4. Orders and acceptance
An order is accepted only when we confirm it in writing (including by email) or dispatch the goods. We may decline any order.
You are responsible for making sure the machine make, model, part numbers and quantities in your order are correct.
5. Part identification
We check part numbers against the manufacturer's parts manual where one is available. Machines may have been modified, updated or fitted with non-original parts, so we cannot guarantee that a part will fit where the information you gave us was incomplete or incorrect. Photos and old parts help us match items accurately.
Drawings, part numbers and descriptions in our online manuals are for identification only.
6. Prices and VAT
Prices are as stated in our quotation and, unless stated otherwise, exclude VAT, carriage, packing, insurance and any import duties or taxes. VAT is charged at the applicable rate. We can quote in pounds sterling, euros or US dollars on request.
7. Payment
Unless we have agreed a credit account with you, payment is due in full before dispatch. Account customers must pay within 30 days of the invoice date.
We may charge interest on overdue amounts under the Late Payment of Commercial Debts (Interest) Act 1998 and may suspend deliveries until overdue amounts are paid.
8. Delivery
Delivery dates are estimates and are not guaranteed. We are not liable for delays caused by carriers, customs or events outside our control.
Delivery is to the address in your order. For international orders you are responsible for import duties, taxes and customs clearance unless agreed otherwise.
9. Risk and ownership
Risk in the goods passes to you on delivery. Ownership passes to you only when we have received payment in full.
10. Checking your goods
Please check goods on arrival. Report any shortage, damage or wrong item within 3 working days of delivery, with your order number and photos where possible.
11. Returns
Goods supplied correctly to your order may be returned only with our prior agreement, within 7 days of delivery, unused, in their original packaging and in a resaleable condition. A restocking charge of 25% applies, and return carriage is at your cost.
Special order parts (parts we order in specially for you and do not normally stock) and goods made, cut or adapted to your requirements (for example binders, folders or kits made to your tape or machine) are non-returnable unless faulty.
12. Faulty goods and warranty
We warrant that goods will be free from material defects for 6 months from delivery. If goods are faulty, we will repair, replace or refund them at our option once we have inspected them.
The warranty does not cover fair wear and tear, incorrect fitting, misuse, accidents, use with incorrect needles or settings, or alterations not made by us. Consumable items such as needles, blades and grinding wheels are covered only for defects present on delivery.
13. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Subject to that, we are not liable for loss of profit, loss of production, downtime or any indirect or consequential loss, and our total liability under any contract is limited to the price of the goods concerned.
14. Events outside our control
We are not liable for any delay or failure caused by events beyond our reasonable control, including supplier delays, transport disruption, extreme weather, industrial action or government restrictions.
15. Cancellation
Business orders may be cancelled only with our agreement. Orders for goods made or ordered specially for you cannot be cancelled once production or ordering has started, and you must pay for any costs we have incurred.
16. Manufacturer names and trademarks
Manufacturer names, model numbers and part numbers are used only to identify which machines our goods fit and do not imply any connection with those manufacturers.
17. Parts manuals and website content
Parts manuals, drawings and other content on our website are provided to help you identify parts. Manuals remain the property of their respective manufacturers and may not be copied or republished without permission. We try to keep the information accurate but do not guarantee it is complete or error-free. Please tell us if you spot a mistake.
18. Accounts and My machines
If you create an account, you are responsible for keeping your login details secure and for activity on your account. Machine and quote records saved in My machines are kept to help us quote and supply you.
19. Your information
We use the information you give us to answer enquiries, prepare quotations, supply goods and manage your account. We handle personal data in line with UK data protection law and do not sell it to third parties. See our privacy & cookies notice.
20. Export controls
You must comply with any export, import and sanctions laws that apply to the goods. We may refuse or cancel an order where supply would breach those laws.
21. Governing law
These terms and any contract are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
